Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Power Consulting LLC ("Company," "we," "us," or "our"), governing your access to and use of the Pulse platform available at askpulse.io and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Description of Service
Pulse is an AI-powered marketing analytics platform that allows marketing agencies to connect third-party tools (such as Google Analytics, Google Ads, Meta Ads, Mailchimp, Stripe, Shopify, and others), aggregate performance data across client accounts, detect anomalies, and query that data through natural-language AI interfaces via the Model Context Protocol (MCP).
3. Account Registration
To use the Service, you must create an account by providing your agency name, email address, and a password. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys, and for all activity that occurs under your account.
You must notify us immediately at legal@askpulse.io if you become aware of any unauthorized use of your account or API keys.
4. Subscription Plans and Payment
The Service is offered under paid subscription plans (Starter, Growth, and Agency tiers). All plans include a 14-day free trial. After the trial period, your selected payment method will be charged automatically on a recurring monthly basis unless you cancel before the trial ends.
All fees are stated in U.S. dollars and are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Payment processing is handled by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of Service.
5. Cancellation and Termination
You may cancel your subscription at any time through the billing management portal accessible from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period you have already paid for.
We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk. We will provide notice before termination when practicable.
Upon termination, your right to use the Service ceases immediately. We may delete your data within 30 days of termination unless retention is required by law.
6. Third-Party Integrations
The Service allows you to connect third-party platforms including but not limited to Google Analytics, Google Ads, Meta Ads, Google Search Console, Mailchimp, Klaviyo, Stripe, Shopify, HubSpot, Intercom, Semrush, Ahrefs, Instagram, YouTube, TikTok, LinkedIn, Twitter/X, Slack, Calendly, and Typeform. By connecting these platforms, you authorize us to access and retrieve data from those services on your behalf.
You represent that you have the necessary rights and permissions to connect each third-party account and to grant us access to the data contained therein. We are not responsible for the availability, accuracy, or policies of third-party services.
Third-party integrations are facilitated through Composio, an API integration service. Your use of connected platforms is also subject to the respective terms of service of each platform.
7. Your Data and Client Data
You retain ownership of all data you submit to the Service and all data retrieved from your connected third-party accounts ("Your Data"). You grant us a limited, non-exclusive license to use Your Data solely to provide, maintain, and improve the Service.
If you use the Service to manage data on behalf of your clients, you represent and warrant that you have obtained all necessary consents and authorizations from your clients to collect, store, and process their data through the Service. You are solely responsible for your compliance with any agreements between you and your clients.
8. AI and MCP Access
The Service provides access to your data through AI interfaces using the Model Context Protocol (MCP). AI-generated outputs, including summaries, reports, and anomaly alerts, are provided for informational purposes and should not be relied upon as the sole basis for business decisions. We do not guarantee the accuracy, completeness, or timeliness of AI-generated content.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to the Service or its related systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Share, sell, or transfer your API keys or account credentials to unauthorized parties
- Use the Service to collect or process data in violation of applicable data protection laws
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service in a manner that exceeds reasonable use
10. Intellectual Property
The Service, including its software, design, features, and documentation, is owned by Power Consulting LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWER CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA RETRIEVED FROM THIRD-PARTY PLATFORMS WILL BE ACCURATE OR COMPLETE.
13. Indemnification
You agree to indemnify, defend, and hold harmless Power Consulting LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your clients.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Spokane County, Washington, and you consent to the personal jurisdiction of such courts.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
